Service availability is subject to our capacity and suitability assessment. We reserve the right to decline any engagement at our discretion.

When using our Website or engaging our Services, you agree to:

5. Engagement and Payment Terms
Engagement of our Services is formalised through a written engagement letter or scope agreement. Services commence upon receipt of the agreed fee or deposit as specified in the engagement letter.
All fees are quoted and payable in Thai Baht (฿). Fixed fees for our three core services are:
- Contract Review and Structuring: ฿6,200
- Corporate Governance Advisory: ฿16,800
- Cross-Border Business Counsel: ฿28,800
All fees are fixed for the stated scope of work. Additional work outside the agreed scope will be quoted separately and agreed in writing before commencement.
6. Intellectual Property
All content on this Website, including text, design, and structure, is the intellectual property of Tham Sakdi and is protected under applicable Thai law. You are granted a limited, non-exclusive, non-transferable licence to access and view Website content for personal, non-commercial purposes only.
Documents and reports produced in the course of an engagement are delivered to you for your use. Tham Sakdi retains underlying methodologies, templates, and advisory frameworks.
7. Disclaimers
Our advisory services constitute legal counsel, not binding legal opinions that guarantee specific outcomes. While we exercise professional care in all engagements, legal outcomes depend on factors beyond our control, including the decisions of courts, regulatory bodies, and counterparties.

8. Limitation of Liability
To the maximum extent permitted by Thai law, our liability for any claim arising from our Services is limited to the fee paid for the specific service that gave rise to the claim. We are not liable for indirect, consequential, or incidental losses.
Nothing in these Terms limits liability for fraud, gross negligence, or any liability that cannot be excluded by law.
9. Termination
Either party may terminate an engagement by providing written notice. In the event of termination by the Client, fees paid for work already completed are non-refundable. Fees paid in advance for uncompleted work will be assessed and refunded proportionally at our discretion, taking into account the work completed at the time of termination.
We reserve the right to terminate an engagement if you breach these Terms or conduct yourself in a manner that makes continuation of the engagement professionally untenable.
10. Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Kingdom of Thailand. In the event of a dispute, the parties will first attempt to resolve the matter through good-faith negotiation. If resolution cannot be reached, disputes will be submitted to the jurisdiction of the courts of Bangkok, Thailand.
11. Changes to Terms
We may update these Terms from time to time. Changes become effective upon publication on this page, with the "Last Updated" date revised accordingly. Continued use of our Website or Services constitutes acceptance of any updated Terms.
